1. Binding Legal Agreement
These Terms of Service (“Terms”) constitute a legally binding agreement between you and
Usoraa Inc. (“Usoraa,” “we,” “us,” or “our”). By accessing or using the App, you
acknowledge that you have read, understood, and agreed to be bound by these Terms. If
you do not agree, you must not use the App.
2. Nature of the Service
The App provides digital tracking tools and AI-assisted insights for informational and
personal reflection purposes only. The App does not provide professional advice of any
kind.
3. No Professional Advice
Usoraa is not a healthcare provider, therapist, counselor, veterinarian, lawyer, or financial
advisor.
Nothing within the App constitutes:
• Medical diagnosis or treatment
• Mental health therapy
• Veterinary advice
• Legal advice
• Financial advice
AI-generated outputs are automated and may be inaccurate or incomplete. You agree to
consult qualified professionals before making decisions related to health, mental health,
finances, relationships, or other professional matters.
4. Assumption of Risk & Release
You voluntarily assume all risks associated with use of the App. To the fullest extent
permitted by law, you release and discharge Usoraa Inc., its directors, o icers,
shareholders, employees, contractors, and a iliates from any claims arising out of or
related to your use of the App.
5. No Reliance
You agree that you are not relying on any statement or representation not expressly stated
in these Terms.
6. AI Limitations
AI-generated content:
• Is probabilistic in nature
• May contain inaccuracies
• Does not understand personal context
You agree not to rely on AI-generated outputs as professional advice.
7. Wellness and Informational Use
Usoraa is designed as a reflective awareness tool intended to help users observe personal
patterns across daily experiences.
The application does not provide medical advice, psychological counseling, diagnosis, or
treatment of any condition. Information, insights, and reflections generated within the
application are intended for informational and personal awareness purposes only.
Users should not rely on the application for medical, psychological, legal, or professional
advice. If you are experiencing health concerns, emotional distress, or other serious
issues, you should seek guidance from a qualified professional.
Usoraa does not replace professional medical care, mental health treatment, or
professional counseling.
Users remain solely responsible for how they interpret and act upon information provided
within the application.
8. Eligibility
You must be at least 16 years of age to use the App. By using the App, you represent and
warrant that you meet this requirement.
9. Subscriptions and Billing
Subscriptions are billed in advance and automatically renew unless canceled. Billing is
processed through third-party platforms (Apple App Store or Google Play). Usoraa Inc. is
not responsible for third-party billing errors, refunds, or chargebacks.
10. Intellectual Property Rights
All rights, title, and interest in and to the App, including:
• Software
• Algorithms
• Weighting systems
• Life Flow Index framework
• AI prompt architecture
• Trade secrets
• Branding
• Logos remain the exclusive property of Usoraa Inc.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the
App for personal, non-commercial purposes only.
11. User Content & License
You retain ownership of content you submit. By submitting content, you grant Usoraa Inc. a
limited, non-exclusive, worldwide, royalty-free license to store, process, analyze, and
generate AI-assisted outputs solely to operate and improve the App. This license
terminates upon account deletion, subject to technical backup processes.
12. Trade Secrets & Confidential Technology
The App contains proprietary methodologies, insight-generation systems, pattern analysis
frameworks and AI frameworks.
You agree not to:
• Reverse engineer
• Decompile
• Recreate scoring systems
• Extract prompt structures
• Build competing systems using proprietary methodologies
Unauthorized use may result in legal action.
13. Feedback
You grant Usoraa Inc. an unrestricted, perpetual right to use feedback without
compensation.
14. Disclaimer of Warranties
The App is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or
implied, including merchantability and fitness for a particular purpose.
15. Limitation of Liability
To the maximum extent permitted by law, Usoraa Inc. shall not be liable for:
• Indirect damages
• Consequential damages
• Emotional distress
• Data loss
• Lost profits
Total liability shall not exceed the greater of:
(a) Amount paid in the prior 12 months; or
(b) $100 CAD.
16. Indemnification
You agree to indemnify and hold harmless Usoraa Inc. from claims arising from:
• Your misuse of the App
• Your violation of these Terms
• Your reliance on AI outputs
17. Time Limitation on Claims
Any claim must be filed within one (1) year of accrual or it is permanently barred.
18. Mandatory Informal Resolution
You must first provide written notice and allow 30 days for good-faith resolution before
initiating arbitration or legal proceedings.
19. Binding Arbitration
Unresolved disputes shall be resolved through binding arbitration in Alberta on an
individual basis. You waive the right to:
• Jury trial
• Class action
• Collective proceedings
20. Small Claims Exception
Either party may bring qualifying claims in Alberta Small Claims Court on an individual
basis.
21. Mass Arbitration Procedure
If 25 or more similar claims are filed, they shall be batched in coordinated groups of up to
10 cases at a time.
22. No Public Disparagement
You agree not to make knowingly false or malicious statements about Usoraa Inc.
23. Right to Modify or Discontinue
Usoraa Inc. may modify, suspend, or discontinue the App at any time without liability. If
permanently discontinued, your sole remedy is a prorated refund where required by law.
24. Service Availability
We do not guarantee uninterrupted service.
25. User Data Responsibility
You are responsible for backing up important data. We are not liable for data loss,
corruption, or outages beyond reasonable control.
26. Beta Features
Beta or experimental features are provided “as is” and used at your own risk.
27. Electronic Communications
You consent to receive notices electronically.
28. Account Security
You are responsible for safeguarding login credentials.
29. Third-Party Services
We are not responsible for third-party platforms or services.
30. Compliance with Laws
You are responsible for ensuring your use complies with applicable laws.
31. Export Compliance
You agree not to use the App in violation of export or sanctions laws.
32. Force Majeure
We are not liable for delays caused by events beyond reasonable control.
33. Assignment
We may assign these Terms. You may not assign without consent.
34. Independent Relationship
Nothing creates a partnership or agency relationship.
35. No Waiver
Failure to enforce any provision does not constitute waiver.
36. Severability

37. Entire Agreement
These Terms constitute the entire agreement between you and Usoraa Inc.
